Sorare API Terms

These API Terms and Conditions (the “API Terms”) govern your use of the Sorare API (the “API”). By accessing or using the Sorare API, you, the user (“you” or “User”), agree to comply with these API Terms, as well as the Sorare Terms and Conditions. In the event of any conflict between these API Terms and the Sorare Terms and Conditions that are applicable to your use of the API, the API Terms shall prevail. Capitalized terms not otherwise defined in these API Terms shall have the meanings ascribed to them in the Sorare Terms and Conditions.
Section 1: Registration
To access and use the Sorare API, you must complete the registration process, available from this link, by providing any accurate and up-to-date information requested by Sorare. Upon successful registration, you will receive unique API credentials, which you are responsible for keeping secure. You agree to notify Sorare of any changes to your registration details. Sorare reserves the right to approve or deny your registration at its sole discretion and may suspend or terminate your access if you provide false information or violate these API Terms.
Section 2: Use of the Sorare API
2.1. Subject to your compliance with these API Terms, Sorare grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the API solely for the purpose of developing, integrating, and using applications that interact with the Sorare platform in accordance with these API Terms. Your use of the API must always be compliant with all applicable laws and regulations, including but not limited to all privacy and intellectual property laws.
2.2. This license does not grant you any rights to sublicense, distribute, modify, reverse engineer or otherwise derive source code, trade secrets or know-how of the API, or exploit the API or its underlying code for any other purpose without Sorare’s prior written consent. Sorare retains all rights, title, and interest in and to the API, including any intellectual property rights therein, and you acknowledge that no ownership or proprietary rights are transferred to you under this license. Sorare retains all rights, title, and interest in the API, including its underlying code, data, and other intellectual property.
2.3. You may use the Sorare API for commercial purposes, provided that such use fully complies with these API Terms and does not infringe upon Sorare's Terms and Conditions. If you intend to use the API for commercial purposes, you must obtain prior written approval from Sorare for any use that involves sublicensing, reselling, or distributing the API or any related content. Sorare may impose additional terms, conditions, or fees for such commercial use, and reserves the right to revoke or modify any permissions granted at its sole discretion.
Section 3: Rate Limits and Security
3.1. Sorare may impose limits on the number of requests you can make to the API within a specified time frame (e.g., per minute, hour, or day) ("Rate Limits"). You agree to comply with these Rate Limits and acknowledge that Sorare may modify them at its discretion. Excessive or abusive use, including exceeding the Rate Limits, may result in suspension or termination of your access to the API.
3.2. You are responsible for securing your API credentials (e.g., keys, tokens) and must not share or disclose them to third parties without Sorare’s prior written consent. You agree to immediately notify Sorare of any unauthorized access. You must implement reasonable security measures to protect your systems and credentials. Sorare may suspend or revoke access if it determines your use poses a security risk.
Section 4: Warranties and Indemnification
4.1. EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, THE API AND ALL RELATED COMPONENTS AND INFORMATION ARE PROVIDED BY US ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT WE DO NOT WARRANT THAT THE API WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.
4.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WILL INDEMNIFY AND HOLD HARMLESS SORARE, ITS AFFILIATES, OFFICERS, AGENTS, CONSULTANTS, VENDORS, EQUITY HOLDERS, EMPLOYEES, SUCCESSORS, ASSIGNS, DIRECTORS, PARTNERS, SUBSIDIARIES, CONTRACTORS AND LICENSORS AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, AWARDS, JUDGMENTS, LOSSES, LIABILITIES, PENALTIES, FEES, EXPENSES (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) AND COSTS IN CONNECTION WITH YOUR VIOLATION OF THESE API TERMS AND/OR ANY APPLICABLE LAW, REGULATION, THIRD PARTY RIGHTS OR RULE IN CONNECTION WITH YOUR USE OF THE SORARE API.
Section 5: Suspension and Termination
5.1. We reserve the right to suspend or terminate your access to all or any part of the API at our sole discretion and at any time, with or without cause, including but not limited to the following situations: if we reasonably determine that you have violated these API Terms; if we reasonably believe that maintaining the availability of the API in your application is not in the best interests of us, our Users, or our affiliates; or if you have not recently accessed or used the API.
5.2. While we will make reasonable efforts to provide prior notice of our actions under this section, we may discontinue, suspend or terminate these API Terms, and your access to the API at any time and for any reason, with or without notice.
5.3. We may also impose usage limits, restrict access to certain features, or limit your access to some or all of the API at our sole discretion.
Section 6: Miscellaneous
6.1. We reserve the right to modify or amend these Terms, and/or any Additional Terms at any time. If we make material changes to any of the foregoing terms, we will notify you about these amendments in advance, via a dedicated communication method (such as an email sent to the email address associated with your User account) and allow for a reasonable period for you to review the updated terms. If you do not want to agree to any updated terms, you may terminate the present API Terms by discontinuing your use of the API. Your continued use of the Sorare API shall constitute acceptance of the revised terms.
6.2. The applicable version of the API Terms is the latest version published on the date of use of the API.
6.3. Failure by Sorare at any time to exercise its rights under these API Terms shall not constitute the waiver of such right.
6.4. If any term, provision, or section of these Terms is held invalid or unenforceable, then that term, provision or section will be deemed removed from these API Terms and will not affect the validity or enforceability of any remaining part of such provision, section or any other term, provision or section of these API Terms, provided that the essential provisions of these API Terms remain in effect.
6.5. All obligations which by their nature should or are intended to survive the termination or expiration of these Terms shall continue in full force and effect, regardless of the termination of these API Terms by you or Sorare.
