4.1. License Grant. Subject to your compliance with these Terms and any applicable Additional Terms, we hereby grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable personal license to use the Services.
5.1. License Grant. After signing up for an account, we give you free digital cards that are not NFTs (“Common Cards”). Subject to your compliance with these Terms, we hereby grant you a license to collect and play the Common Cards within Sorare. They are located in the “My Cards” section of your User account.
5.2. Card Elements and Third-Party Rights. The player image, team branding (including trademarks and jerseys) and other elements figuring in the Common Cards are officially licensed from the relevant third-party rights holder (“Third-Party Card Elements”). This may include third-party patent rights, image rights, copyrights, trade secrets, trademarks, know-how or any other intellectual property rights recognized in any country or jurisdiction in the world (“Third-Party Rights”). For the avoidance of doubt, you are only authorized to use and display Third-Party Card Elements as part of the use and display (as applicable) of the Common Card embedding such Third-Party Card Elements, within the Sorare Website only. Any other use or display of the Third-Party Card Elements is strictly prohibited.
5.2.1. License Restrictions. You may not, under any circumstances and without Sorare’s prior written consent, carry out or attempt to carry out any of the following to the Common Cards, whether or not held by you: (i) use the Common Cards and any of the Third-Party Card Elements for commercial purposes, advertising or promotion of a third party product or service; (ii) market merchandise, physical or digital, that represents the Common Card; (iii) alter the image associated with the Common Card, and/or alter, edit or modify the Third-Party Card Elements in any other way; (iv) attempt to claim any additional intellectual property rights relating to the Common Card or the Third-Party Card Elements; (v) violate any applicable Third-Party Right; and/or (vii) use the Third-Party Card Elements and/or the Common Card in connection with images, videos, or other forms of media that depict hatred, intolerance, violence, cruelty, or anything else that could reasonably be found to constitute hate speech, defamation or otherwise infringe upon the rights of others, including the image right(s) of the featured player.
6.1. Collectibles. Collectibles are unique digital trading cards featuring a professional athlete with a non-fungible token (“NFT”) using Blockchain Technology and issued by Sorare. The NFT ensures the scarcity and authenticity of the Collectible and the transparency of the Services. NFTs on the Sorare platform are minted using a secondary protocol built on top of the Ethereum Blockchain (“Layer 2”) by Starkware. This layer 2 solution allows for a higher processing capacity for transactions and reduces gas fees than minting directly on Ethereum.
6.2. Scarcity. Collectibles are classified based on a level of scarcity specified for each issuance. For instance, a Collectible may be Limited, Rare, Super Rare, or Unique, regarding the total number of items offered. The scarcity of a Collectible is guaranteed by the underlying NFT.
6.3. Value. Collectibles are the digital equivalent of paper sports trading cards. They are sold without an investment purpose and/or for the purpose of gaining additional value, even if the Collectibles are resold via the Marketplace or through a Third-Party Service or marketplace.
6.4. Ownership. When you purchase a Collectible, you become the definitive owner of the underlying NFT (welcome to Web3!), in accordance with these Terms. Except where otherwise explicitly stated to the contrary, you have the right to freely dispose of your Collectible (via sale, loan, donation, transfer, etc. including in the Marketplace or through a Third-Party Service or marketplace).
6.5. Collectible Elements and Third-Party Rights. The player image, team branding (including trademarks and jerseys) and other elements figuring in the Collectibles are officially licensed from the relevant third-party rights holder (“Third-Party Collectible Elements”). This may include third-party patent rights, image rights, copyrights, trade secrets, trademarks, know-how or any other intellectual property rights recognized in any country or jurisdiction in the world (“Third-Party Rights”).
6.5.1. License to Third-Party Rights in Collectible Elements. Subject to compliance with these Terms, you are hereby granted, on a non-exclusive basis, a worldwide license to use, display and transfer the Third-Party Collectible Elements associated with the Collectibles incorporated into the NFTs that you legitimately own for the period that you own the relevant NFT(s), for personal and non-commercial purposes only. For the avoidance of doubt, you are only authorized to use, display, and transfer Third-Party Collectible Elements as part of the use, display, and transfer (as applicable) of the Collectible embedding such Third-Party Collectible Elements. Any other use, display or transfer of the Third-Party Collectible Elements is strictly prohibited.
6.5.2. License Restrictions. You may not, under any circumstances and without Sorare’s prior written consent, carry out or attempt to carry out any of the following to the Collectibles, whether or not owned by you: (i) use the Collectible and any of the Third-Party Collectible Elements for commercial purposes, advertising or promotion of a third-party product or service; (ii) market merchandise, physical or digital, that represents the purchased Collectible; (iii) alter the image associated with the Collectible, and/or alter, edit or modify the Third-Party Collectible Elements in any other way; (iv) attempt to claim any additional intellectual property rights relating to the Collectible or the Third-Party Collectible Elements; (v) violate any applicable Third-Party Right; and/or (vii) use the Third-Party Collectible Elements and/or the Collectible in connection with images, videos, or other forms of media that depict hatred, intolerance, violence, cruelty, or anything else that could reasonably be found to constitute hate speech, defamation or otherwise infringe upon the rights of others, including the image right(s) of the featured player.
6.6 Collectible Issuance.
6.6.1. You can buy a Collectible through auctions on the Website offered by Sorare (at Auction), via posts from other Users (in the Marketplace), or through a third-party marketplace.
6.6.2. When Collectibles are first issued, we offer them for sale at auction (“Auction”). The Auction for the relevant Collectible will be open for a specified period of time (the “Auction Period”). You may set the maximum amount you would like to bid for a Collectible at an Auction (“Maximum Bid”) and Sorare will automatically bid in increments on your behalf up to your Maximum Bid as detailed in our Help Center ("Automatic Bidding"). If you get outbid by another User during the Auction Period, you will have the option to increase your Maximum Bid. You can stop Automatic Bidding at any time during the Auction Period. The last, highest bidder acquires the Collectible. There is no reservation price. This may include single Collectibles and Collectible bundles. If you buy a bundle, the included individual Collectibles will be specified.
6.6.3. Any bid registered on the Website through a User account is deemed authentic and valid. Once you have placed a bid, it cannot be withdrawn or modified. If the Auction Period concludes and your bid is the highest, your payment method will be charged.
6.6.4. In the event of a service interruption or technical problem that is unforeseeable and/or outside of our reasonable control that causes an Auction to be inaccessible for any period of time within four (4) hours of its scheduled end, Sorare reserves the right to extend the auction period or to cancel the Auction and relaunch it at a later date.
6.6.5. Consumers generally have a right of withdrawal that can be exercised within fourteen (14) days after the conclusion of the contract pursuant to the provisions of Article L. 221-18 of the French Consumer Code. This means that the consumer can change their mind about a purchase of an item after buying it within 14 days of the purchase and return it to the company they bought it from. Given the digital nature of the Collectibles and the immediate access to the Collectibles by the User after purchase, you will be asked to waive your right to the withdrawal period when purchasing a Collectible, meaning that the Collectible is yours immediately upon purchase and you waive the ability to return it to Sorare for a refund.
BY PURCHASING A COLLECTIBLE ON THE WEBSITE, YOU SHALL EXPRESSLY CONSENT TO THE PERFORMANCE OF THE CONTRACT TO BEGIN BEFORE THE END OF THE WITHDRAWAL PERIOD AND ACKNOWLEDGE THAT YOU WILL LOSE YOUR RIGHT OF WITHDRAWAL. We will confirm your agreement to the provision of the digital content and your waiver of your right of withdrawal by email.
6.7 Transfer and Exchange.
6.7.1. Through the Marketplace. You may sell your Collectibles to other Users or buy other Users’ Collectibles via posting the relevant Collectible on the Sorare marketplace (“Marketplace”). Use of the Marketplace is governed by the Sorare Marketplace Terms.
6.7.2. Through a Third-Party Service. You may withdraw your Collectibles from your User account and transfer to and/or sell the Collectibles through a Third-Party Service or marketplace. In order to transfer your Collectibles to an external wallet or Third-Party Service or marketplace, you will need to pay the gas fees associated with transferring the Collectibles from our Layer 2 solution to the Ethereum Blockchain. Any sales or exchanges on Third-Party Services and/or marketplaces will be subject to the terms and conditions provided by such Third-Party Service or marketplace.
6.7.3. Disclaimer. To the extent allowed by applicable law, Sorare is under no circumstances responsible or liable for any loss or damage that may occur during the transfer, withdrawal, sale, or exchange of Collectibles through the Marketplace or outside the Website.
7.1. When you make a payment in connection with the Services, your payment will be processed by one of our trusted, Third-Party Service payment providers “Payment Provider.” For more information regarding your different payment options, please consult the Help Center.
7.2. In order to process your payment, the relevant Payment Provider may ask you for additional information in order to verify your identity or validate the transaction, in compliance with that Payment Provider’s terms of service and privacy policy.
7.3. You acknowledge and agree that due to the nature of Blockchain technology, once a transaction has been processed, the associated transaction data will be irreversibly associated with the relevant Collectible and documented on the Blockchain.
8.1. You may test your sports skills and knowledge by composing teams of your Common Cards or Collectibles and then entering your team in a virtual tournament. The virtual tournament tracks the real performance of the individual players in the Common Cards or Collectibles you’ve added to your dream team (the “Game”).

9.1. You may acquire virtual in-game items, officially licensed goods and other items made available by Sorare from time to time through a dedicated shop available on the Website and App (the “Club Shop”).
9.2. Unless otherwise stipulated on the Website or App, you may acquire items made available on the Club Shop using Sorare’s in-game soft currency (“Coins”). Coins are in-game items that can be acquired for free by playing the Game and do not have any value in either fiat or digital currency and cannot be exchanged or converted against any other currency within or outside the Services. Coins do not earn interest, they cannot be traded nor transferred between Users and cannot be used or transferred outside of the Services.
9.3. You are only granted a limited license to use the Coins in the Club Shop. Sorare retains all rights to the Coins and reserves all rights to change or suspend temporarily or indefinitely the possibility to acquire Coins by playing the Game or to use Coins in the Club Shop. 14.1. We reserve the right to modify, suspend, or discontinue, in each case temporarily or permanently, part or all of the Services, products, offerings, promotions and/or features of the Website, App, or Services, or we may introduce new features and/or Services if we have another valid reason. The Marketplace is a bulletin board where you can advertise that a Collectible is for sale or purchase through a post. If you post a collectible for sale, you are a “Seller” and if you buy a Collectible, you are a “Buyer.” These Marketplace Terms, together with the Terms and Conditions, govern your offer(s) to sell or purchase a Collectible on Sorare.
2.1 Buying, Selling, and Exchanging. You may post your Collectibles for sale on the Marketplace in accordance with the procedures set out in the Help Center. To offer a Collectible for sale you set the price and post the Collectible to the Marketplace (the “Offer”). The Offer will be open on the Marketplace for a specific period of time (the "Offer Period") and is subject to counter offers from other Users (as defined below). You may accept Currencies, a Collectible, or the combination of the two for the relevant Offer or Counter Offer; this is arranged exclusively between the Seller and Buyer. If you do not sell your Collectible within the Offer Period, the relevant Offer’s post expires, but you may post the Collectible for sale again at any time. Please note that you cannot mix Cryptocurrencies and Local Currencies, nor Collectibles from different sports available in the Services (Football, MLB and NBA) in your Offer.
2.1.1 Counter Offers. As a User interested in another User’s Offer, you may want to make a counter offer to acquire a Collectible, using Currencies, Collectibles, or a combination of both (“Counter Offer(s)”). If the amount (in either Cryptocurrency or Local Currency) stipulated in your Counter Offer exceeds your current Wallet balance, you will be prompted to make a Currency deposit in your relevant Wallet prior to sending your Counter Offer. Please note that you cannot mix Cryptocurrencies and Local Currencies, nor Collectibles from different sports available in the Services (Football, MLB and NBA) in your Counter Offer.
2.1.2 Market Fee. When you buy a Collectible in the Marketplace, we may charge a fee for the transaction (“Market Fee”), where indicated. We reserve the right to change the applicable Market Fee(s) at our discretion, with notice to you.
2.2 Transactions Between Buyers and Sellers. Sorare does not intervene, arrange or more generally participate in the conclusion of the sale between Buyers and Sellers on the Marketplace in any way, nor does it intervene in any way in the choice and/or price of the Collectibles subject to the Offers on the Marketplace. Sorare is not a party nor an agent to the sale or purchase of a Collectible on the Marketplace, and Sorare does not act as an execution intermediary for the bilateral or multilateral matching of the interests of Buyers and Sellers. This means that Sorare will not arrange and/or match potential buying interests of the potential Buyers to Collectibles posted for sale by the Buyers, or otherwise direct Offers to potential Buyers. You are solely responsible for your offers to sell or buy Collectibles; we make no claims regarding any Offer, Seller, price, Buyer, and/or Collectible value. Notwithstanding the foregoing, Sorare can intervene after the transactions have been made, if the post or purchase is not compliant with the T&Cs, Marketplace Terms and/or applicable law or regulation.
2.3 Marketplace Prices and Offers for Sale. Sorare does not control the value, relevance and/or fairness of the prices proposed by a Seller. The Seller is solely responsible for determining the selling price of the relevant Collectible and the Buyer is solely responsible for evaluating the price of any Collectible posted on the Marketplace. Any non-professional User can post an Offer on the Marketplace, in that User’s sole discretion.
2.4. Taxes. As a matter of principle, the Seller is responsible for all taxes, duties, and levies due in respect of the transaction it enters into with a Buyer.
2.4.1. Sorare reserves the right to remove any Offers from the Marketplace if the relevant Seller (i) has violated or is suspected to have violated the Terms and Conditions, these Marketplace Terms, and/or any applicable Additional Terms that the Seller has accepted, and/or (ii) is subject to a temporary or permanent service restriction or account suspension.
2.5 Ranking an Offer
2.5.1 The Collectibles listed on the Marketplace are ranked according to an algorithm. The algorithm takes into account the price offered by the Seller and the scarcity of the Collectible, with the aim of highlighting Offers with the best ratio of listed price and the performance of the athlete represented by the Collectible. This default ranking method corresponds to the sorting criterion of the search results called "Best Value" on the Marketplace.
2.5.2. Potential Buyers may alternatively refine a search of Offers by sorting the results on the basis of the following other criteria:
The Collectibles are then ranked in the search results according to the selected criteria.
2.6 Disputes on the Marketplace.
2.6.1 Any and all claims arising from the use of the Marketplace functionalities (post an Offer, ranking an Offer, removing an Offer) must be addressed to the client support department of Sorare via the Help Center.
2.7 Disputes on the Buying and Selling.
2.7.1 Responsibility for Disputes between the Buyers and the Sellers. When buying or selling Collectibles on the Marketplace, you understand and agree that you are solely responsible for the relevant transaction. To the fullest extent allowed by applicable law, Sorare shall not be held liable for damages caused by the sale, purchase, price, or any other act carried out by either Buyers or Sellers on or in connection with the Marketplace.
2.7.2 Dispute Resolution between the Buyers and the Sellers. Any and all potential claims must be resolved between the relevant Buyer or Seller. The Seller is solely responsible for addressing any claim made against that Seller. Notwithstanding the foregoing, Sorare reserves the right to enforce these Terms, investigate and remediate suspected and/or actual fraud and/or take part in arbitration or other regulatory or judicial action, in its sole discretion.
2.8 Tax and Social Security Obligations.
2.8.1 General Obligations. Note that according to most tax legislation, the sale of a Collectible is likely to constitute taxable income, particularly where the sale price of the Collectible is higher than its purchase price.
(A.) You are solely responsible for declaring any income from a sale of your Collectible to the competent tax and/or social security administration.
(B.) Nothing in this section shall be construed as financial, tax or legal advice. We encourage you to contact the competent tax social security authorities to ensure you comply with all the laws and regulations applicable to you.
